This AI Partners Program Agreement ("Agreement") is entered into between Picsart, Inc. ("Picsart," "we," or "us") and you ("Partner" or "you") as of the date you accept this Agreement. By clicking "I Accept" or participating in the Picsart AI Partners Program ("Program"), you agree to be bound by this Agreement.
1. PROGRAM OVERVIEW
The Program provides select creators with early access to Picsart's experimental and pre-release AI features, tools, and models ("Beta Features"). Your participation is voluntary and subject to the terms below, which supplement Picsart's Terms of Use and Privacy Policy.
2. CONFIDENTIALITY
2.1 Confidential Information. During your participation, you may receive access to non-public information, including but not limited to: Beta Features, unreleased product roadmaps, technical specifications, performance data, and communications from Picsart teams ("Confidential Information"). Any Feedback (as defined in Section 4) you provide is also deemed Confidential Information of Picsart.
2.2 Obligations. You agree to:
Keep all Confidential Information strictly confidential;
Not disclose Confidential Information to any third party without Picsart's prior written consent;
Not use Confidential Information for any purpose other than participating in the Program;
Take reasonable measures to protect Confidential Information from unauthorized disclosure.
2.3 Exceptions. Confidential Information does not include information that: (a) becomes publicly available through no fault of yours; (b) was known to you prior to disclosure by Picsart; or (c) is required to be disclosed by law, provided you give Picsart reasonable advance notice.
2.4 Duration. Your confidentiality obligations survive termination of this Agreement and continue for three (3) years following disclosure, or until the information becomes publicly available, whichever occurs first.
3. BETA FEATURES – DISCLAIMERS AND ACKNOWLEDGMENTS
3.1 "As-Is" Basis. Beta Features are experimental and provided on an "AS-IS" and "AS-AVAILABLE" basis. You acknowledge that Beta Features may contain bugs, errors, or other issues and may not perform as intended.
3.2 No Warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICSART DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WITH RESPECT TO BETA FEATURES. PICSART DOES NOT WARRANT THAT BETA FEATURES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
3.3 Assumption of Risk. You assume all risk associated with your use of Beta Features. Picsart is not liable for any loss of data, content, or work product resulting from your use of Beta Features.
3.4 No Commitment. Picsart is under no obligation to release any Beta Feature to the public or to continue development of any Beta Feature. Features may be modified, discontinued, or removed at any time without notice.
4. FEEDBACK AND INTELLECTUAL PROPERTY
4.1 Feedback Assignment. You hereby irrevocably assign to Picsart all right, title, and interest in and to all Feedback, including all intellectual property rights therein. Picsart may use, modify, disclose, or incorporate Feedback into its products and services without restriction. "Feedback" means any feedback, suggestions, ideas, bug reports, feature requests, improvements, or other input you provide regarding Beta Features or the Program.
4.2 No Compensation. You acknowledge that you are not entitled to any compensation, royalties, or credit for Feedback.
4.3 Waiver of Moral Rights. To the extent permitted by law, you waive any moral rights you may have in Feedback.
4.4 Further Assurances. You agree to execute any documents and take any actions reasonably requested by Picsart to perfect or evidence its ownership of Feedback.
5. USAGE RESTRICTIONS AND PUBLICITY
5.1 Permitted Use. You may use Beta Features solely for personal, non-commercial creative purposes and to provide Feedback to Picsart, unless otherwise authorized in writing.
5.2 Public Discussion. Unless Picsart provides express written permission:
You may not publicly disclose, discuss, review, or demonstrate any Beta Feature that has not been officially released;
You may not share screenshots, recordings, or descriptions of unreleased Beta Features on social media, blogs, videos, or other public platforms;
You may not discuss the existence or details of the Program with media or press.
5.3 Authorized Sharing. Picsart may designate certain Beta Features as approved for public sharing. In such cases, Picsart will provide written guidelines, and you agree to follow them.
5.4 Content You Create. Subject to Section 5.2, you retain ownership of original creative content you produce using Beta Features. However, Picsart may feature your work in marketing materials, community showcases, and partner spotlights, and you grant Picsart a non-exclusive, royalty-free, worldwide license to use, display, and promote such content in connection with the Program and Picsart's services.
6. TERM AND TERMINATION
6.1 Term. This Agreement is effective upon your acceptance and continues until terminated.
6.2 Termination. Picsart may suspend or terminate your participation in the Program at any time, for any reason or no reason, with or without notice. Reasons may include, but are not limited to, breach of this Agreement, inactivity, or discontinuation of the Program. You may withdraw from the Program at any time by notifying Picsart.
6.3 Effect of Termination. Upon termination: (a) your access to Beta Features will be revoked; (b) you must cease using and delete any Confidential Information in your possession; and (c) Sections 2, 3, 4, 5.4, and 7 survive termination.
7. INDEMNIFICATION; LIMITATION OF LIABILTY
7.1 Indemnification. You agree to indemnify and hold harmless Picsart and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your breach of this Agreement or misuse of Beta Features.
7.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICSART'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL PICSART BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
8. GENERAL PROVISIONS
8.1 Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
8.2 Entire Agreement; Amendments. This Agreement, together with Picsart's Terms of Use and Privacy Policy, constitutes the entire agreement between you and Picsart regarding the Program. If any provision is found unenforceable, the remaining provisions remain in effect. Picsart may update this Agreement by posting a revised version. Continued participation constitutes acceptance of any changes.
